The core of our services revolve around the valuation of a business, or a business interest.
We focus on business valuation and transaction support of small and mid-sized private companies. This enables us to have deep understanding of the current market trends and issues facing a private company, which can be significantly different than those experienced by larger, public companies. Understanding the value of a company is at the core of helping someone buy or sell a business. Whether working for the purchaser or seller, we perform a full valuation exercise that analyzes all aspects of the company. We look at the assets, day-to-day operations, other comparable private market transactions, intellectual property, and competitive pressures. On the other hand, we believe a valuation for notional reasons, where the business is not being exposed for sale to an unrelated third party, should also incorporate some "real-life" transaction knowledge and not purely theoretical formulas. A notional valuation may be needed in the following situations: shareholder dispute, partner buyout, marital divorce, corporate reorganization, financing, and intergenerational transfers. Though the Company is not being exposed for sale, it is worthwhile for the owners and advisors involved to have a realistic view of what the Company in question would actually transact for. |
